1. Introduction

In&motion develops and markets the In&box, which is integrated into compatible airbag products. The In&box is the detection device used to detect a fall in order to trigger the inflation of the airbag. The In&box only works with a compatible airbag product incorporating the In&motion airbag system. For the technical aspects of the In&box, the User must refer to its user manual, provided when the In&box is made available and available on the Company’s website, which contains all the technical and practical characteristics of the In&box.

The Application is a Fleet management tool. It does not replace the checks and verifications that the User must carry out, in accordance with the In&box user manual, before each use of the airbag products.

These GTU apply without prejudice to the Provision Agreement entered into between In&motion and the User. In the event of any conflict, the Provision Agreement shall prevail with respect to the In&box devices, and these GTU shall prevail with respect to the Application.

2. Purpose and conditions of use of the Application

2.1. Purpose of the Application

In&motion operates this Application, the purpose of which is to allow Users to access the dashboard of their Fleet.

In order to access the Application, each Authorised Person must log in using the Credentials provided by In&motion.

The Application will then allow the User to access several tabs:

  • The Fleet dashboard: showing the connection status to the Inflator, the battery level, the detection mode used, available updates, the memory card fill rate and the Wi-Fi network configured for each In&box in the Fleet.
  • The user account settings, providing access to account information, the user profile and the Application settings (including logging out).

The Application detects the In&box devices in the Fleet via a Bluetooth connection, allowing them to be connected and configured:

  • First connection: Bluetooth connection to In&box devices in the Fleet.
  • At each connection: the Application will connect to the User’s In&box devices as soon as they are switched on, in order to give the User access to the dashboard.
  • Wi-Fi access point configuration: the User can use the Application to configure their Wi-Fi access point in the In&box devices of their Fleet so that they can download the latest available updates.
  • Update: the User can use the Application to update the embedded software of the In&box devices in their Fleet.

2.2. Purpose of the GTU

The purpose of these GTU is to set out the contractual provisions relating to the respective rights and obligations of the Parties in connection with the use of the Application.

2.3. Conditions of use

Use of the IN&FLEET Application is free of charge and reserved exclusively for Users holding several In&box devices under the Provision Agreement, to the exclusion of consumers within the meaning of the preliminary article of the French Consumer Code.

The Application communicates with the In&box devices in the Fleet via Bluetooth. User authentication and the downloading of updates also require an internet connection.

2.4. Duration – Suspension – End of access

These GTU apply for the entire period during which the User uses the Application.

In&motion may suspend or deactivate all or part of the access of the User or of an Authorised Person in the event of a breach of these GTU by the User, after a formal notice has remained unheeded for fifteen (15) days, or without notice in the event of a serious breach, in particular in the event of an attack on the security of the Application or of the In&box devices.

Access to the User Account automatically ends on the date of expiry or termination of the Provision Agreement or, in the event of purchase, when the User no longer holds any In&box. The User may also request the closure of their User Account at any time from the customer service referred to in Article 16.

3. Acceptance of the GTU

These GTU are brought to the User’s attention when they first log in to the Application. Their acceptance is materialised by a positive action (checkbox or confirmation button), prior to any use of the Application. The User guarantees that the Authorised Person accepting the GTU has the authority to bind the User. The GTU are accessible at any time from the Application and can be downloaded and printed.

4. Technical specifications

The Application can be downloaded on any mobile device such as a smartphone or tablet running Android version 8 or later or iOS version 17.4 or later. The device must be equipped with a Bluetooth Low Energy compatible chip.

It can be downloaded from the App Store for iOS devices and from the Google Play Store for Android devices.

In any event, access to the Application requires access to the internet (Wi-Fi or mobile network). The User is advised to download the Application while connected to a Wi-Fi network.

The User acknowledges having the means and skills necessary to use the Application. The equipment required to access and use the Application is the responsibility of the User, as are the telecommunications costs resulting from its use.

5. Obligations

5.1. Obligations of Users

When using the Application, each User undertakes not to undermine public order, to comply with the laws and regulations in force, and to respect the rights of third parties and the provisions of these GTU.

Each User is obliged to:

  • Behave fairly towards In&motion and third parties;
  • Use the Application in accordance with its purpose as described in these GTU;
  • Not attempt to copy, extract, modify or reproduce any part or all of the elements of the Application (including in particular names, trademarks, logos, images, videos, music, underlying technology and databases), by any means whatsoever;
  • Not misuse the Application to commit crimes, offences or misdemeanours punishable under the French Criminal Code or any other law;
  • Respect the privacy of third parties;
  • Be honest and truthful in the information provided to In&motion;
  • Not seek to interfere, within the meaning of Articles 323-1 et seq. of the French Criminal Code, with the automated data processing systems implemented on the Application;
  • Not disseminate data that would have the effect of reducing, disrupting, slowing down or interrupting the normal operation of the Application.

The User undertakes to allow only its Authorised Persons to use the Application, to inform them of these GTU and to ensure that they comply with them. The User is liable for the acts of its Authorised Persons as if they were its own and undertakes not to allow any third party to use the Application in its place or on its behalf.

The User is also responsible for maintaining the confidentiality of its Credentials and expressly acknowledges that any use of the Application from its User Account will be deemed to have been made by the User. The User undertakes to inform In&motion without delay of any loss, disclosure or unauthorised use of its Credentials, and to have the access of Authorised Persons who no longer need to use the Application deactivated.

5.2. Obligations of In&motion

The Company undertakes to implement reasonable means to ensure the proper functioning of the Application and to take the necessary measures to maintain the continuity and quality of this service.

However, In&motion draws Users’ attention to the fact that current internet communication protocols cannot guarantee the reliable and continuous transmission of electronic exchanges.

In&motion will use its best efforts to guarantee the User a level of security in line with the state of the art when using the Application. In&motion’s liability is limited under the conditions set out in Article 7.

In&motion reserves the right to develop the Application, in particular by releasing updates.

6. Intellectual property

6.1. Ownership of intellectual property rights

The User acknowledges that the trademarks, logos, slogans, graphics, photographs, animations, videos, software solutions, computer code, technologies and texts contained on or in the Application are the exclusive property of In&motion and may not be reproduced, used or represented without express authorisation, failing which legal proceedings may be brought.

Any total or partial representation or reproduction of the Application and its content, by any means whatsoever, without the prior express authorisation of In&motion is prohibited and will constitute an infringement punishable under Articles L.335-2 et seq. and Articles L.713-1 et seq. of the French Intellectual Property Code.

In particular, In&motion expressly prohibits:

  • The extraction, by permanent or temporary transfer, of all or a qualitatively or quantitatively substantial part of the content of a database to another medium, by any means and in any form whatsoever;
  • The re-use, by making available to the public, of all or a qualitatively or quantitatively substantial part of the content of the database, in any form whatsoever.

Acceptance of these GTU constitutes the User’s acknowledgement of In&motion’s intellectual property rights and an undertaking to respect them.

6.2. Licence to use the Application

In&motion grants the User, for its internal professional needs and for the duration of its access to the Application, a non-exclusive, non-assignable and non-transferable licence, exercised by its Authorised Persons, authorising it to use the Application in accordance with these GTU.

Any other exploitation of the Application and its content is excluded from the scope of this licence and may not be carried out without the prior express authorisation of In&motion.

Accordingly, the User is prohibited in practice from:

  • Decompiling, disassembling, reverse engineering or otherwise making intelligible all or part of the Application, or attempting to do so;
  • Accessing the Application in order to design a competing application or service;
  • Using the Application to provide services to third parties or granting sub-licences, selling, renting, assigning, allocating, distributing, displaying or commercially exploiting the Application to third parties.

Publishing, making available to the public or communicating to the public any software, application, site, etc. that makes it possible to circumvent the normal use of the Application is not authorised and may justify legal action by In&motion.

6.3. Licence on elements uploaded by the User

Should the Application allow the User to upload content (in particular logos, photographs or names), the User grants In&motion, worldwide and for the duration of its access to the Application, a non-exclusive and free right to reproduce and represent such content, solely for the purposes of providing and maintaining the Application. The User guarantees that it holds the necessary rights to such content.

7. Liability

Access to the Application and use of its content are the responsibility of the User. In particular, it is the User’s responsibility to protect itself against any virus or element likely to damage its connection equipment or the data it contains.

Furthermore, In&motion shall in no event be held liable:

  • If it is temporarily impossible to access the Application due to technical maintenance or updating operations. Users acknowledge that In&motion cannot be held liable in the event of malfunctions or interruptions of said transmission networks or of the equipment of Users of the Application;
  • In the event of a virus attack on the Application or carried out by a third party from the Application, and its possible consequences;
  • In the event of abnormal use or unlawful exploitation of the Application, the User then being solely liable for any damage caused to third parties and for the consequences of any claims or actions that may result;
  • In the event of non-compliance with these GTU attributable to Users;
  • In the event of a delay in or failure to perform its obligations, where the cause of the delay or failure is linked to a case of force majeure as defined in Article 8 of these GTU;
  • In the event of an external cause not attributable to In&motion.

The User remains solely responsible for the use of the airbag products by its employees or agents, for compliance with the instructions set out in the In&box user manual, and for checking the condition and status of each In&box before use.

8. Force majeure

Neither Party shall be held liable for any delay in or failure to perform its obligations resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code, i.e. an event beyond the control of the Party concerned, which could not reasonably have been foreseen at the time the GTU were accepted and the effects of which cannot be avoided by appropriate measures.

The prevented Party shall inform the other Party as soon as possible. Performance of the obligation is suspended for the duration of the impediment. If the impediment is permanent or lasts for more than thirty (30) days, either Party may terminate access to the Application by written notice, without compensation on either side.

9. Data protection

In&motion, as data controller, undertakes to process the personal data collected in connection with the use of the Application in accordance with Regulation (EU) 2016/679 of 27 April 2016 (“GDPR”) and amended French Law No. 78-17 of 6 January 1978 on information technology, data files and civil liberties.

The personal data concerned are mainly those of the Authorised Persons, referred to in Article 10.1. They are processed for the following purposes:

  • the management of User Accounts and the provision of the Application’s features, on the basis of the performance of these GTU;
  • assistance, customer service and the handling of complaints, on the basis of the performance of these GTU;
  • the security of the Application and the In&box devices, the release of updates and the improvement of In&motion’s products and services, on the basis of In&motion’s legitimate interest;
  • compliance with In&motion’s legal and regulatory obligations, in particular with regard to product safety.

Any use of personal data for another purpose will be subject to prior information and, where required by regulations, to obtaining the consent of the data subjects.

All information relating to data protection and the processing of the User’s information is available in the “Privacy Policy” document, available on the In&motion Site and Application.

This personal data may be retained by the Company for the entire duration of the contractual relationship and for a maximum of 3 years from the last contractual relationship with the User.

In accordance with the GDPR and amended French Law No. 78-17 of 6 January 1978, any data subject has the right to access, rectify and erase their data, to restrict and object to its processing, and to data portability, as well as the right to set out instructions regarding the fate of their data after their death. These rights may be exercised at the following address: dpo@inemotion.com. In the event of reasonable doubt as to the identity of the requester, the Company may request the additional information necessary to confirm it. Any data subject also has the right to lodge a complaint with the French Data Protection Authority (Commission nationale de l’informatique et des libertés – CNIL).

The User undertakes to inform its Authorised Persons and, where applicable, the users of the airbag products equipped with In&box devices, of the data processing carried out in connection with the Application.

10. Information collected

10.1. Information about the User and Authorised Persons

When using the Application, the User and its Authorised Persons are required to provide In&motion with certain data necessary for the provision of the Application’s features.

The information that may be collected by the “In&fleet” mobile Application is as follows:

  • Company name of the User;
  • Professional email address of the Authorised Persons;
  • Country of establishment of the User;
  • Preferred contact language;
  • Location data (Android versions 8 to 11 only);
  • Product Data relating to the In&box devices in the Fleet;
  • Any information provided voluntarily, in particular in the course of exchanges with customer service.

10.2. Product Data

The Product Data can be viewed by the User in the Application dashboard. In accordance with Regulation (EU) 2023/2854 of 13 December 2023 (“Data Act”), the User may request from In&motion access to Product Data that is not directly accessible to it, as well as the making available of such data to a third party designated by the User, by sending a request to the customer service referred to in Article 16.

The User authorises In&motion to use non-personal Product Data for the purposes of providing, maintaining and securing the Application and the In&box devices, releasing updates, and improving and developing its products and services. In&motion undertakes not to use such data to derive insights into the User’s economic situation, assets or production methods, and only makes such data available to third parties for the purposes of performing these GTU, in particular to its technical subcontractors.

Product Data of a personal nature is processed in accordance with Article 9 of these GTU.

11. Amendment of the GTU

These GTU apply to any User using the Application. In&motion may amend the GTU, in particular to take into account changes to the Application or to applicable laws and regulations. The User will be informed of any amendment by notification in the Application or by email, at least thirty (30) days before it comes into force, unless the amendment is required by a legal or regulatory provision or for security reasons. The amended GTU will be submitted for the User’s acceptance the next time they log in to the Application; failing acceptance, the User may stop using the Application and request the closure of its User Account.

12. Translation of the GTU

Should these GTU be drawn up in one or more translated languages, only the French version shall be authoritative.

13. Agreement on evidence

Each Party undertakes to recognise as having the same evidential value as a paper document any electronic document or information exchanged between them through their electronic correspondence or the communication tools made available to them on the Application, as well as any computerised data stored, accessible or generated by the Application relating to their pre-contractual and contractual relationship.

Except in the event of proven computer fraud affecting the information systems used or deliberate human falsification, the Parties waive the right to invoke the unenforceability or invalidity of any evidence provided by means of the aforementioned documents or information.

14. Waiver

The fact that either Party does not claim the application of any clause of the GTU or acquiesces in its non-performance, whether permanently or temporarily, shall not be interpreted as a waiver by that Party of the rights arising for it from said clause.

15. Partial invalidity

The annulment of any of the provisions of the Terms shall not result in the annulment of these Terms as a whole, unless the disputed provision can be considered, in the minds of the Parties, as substantial and decisive, or unless its annulment calls into question the general balance of the Terms.

16. Customer service

In&motion provides the User with a customer service to answer any request for information about the In&box and the Application.

The User can contact the Company using the following details:

Customer service is open at the following times: from 9 a.m. to 6 p.m., Monday to Friday. As opening hours are subject to change, they are available in the “Contact” section of the website www.inemotion.com.

17.3. Jurisdiction

Failing amicable resolution within the period referred to in Article 17.2, any dispute shall be subject to the exclusive jurisdiction of the Commercial Court of Annecy, including in the event of summary proceedings, third-party claims or multiple defendants.
